Non-exclusive appointment; no minimum volumes guaranteed.
Each Booking is a separate contract incorporating these terms.
The Subcontractor is an independent contractor — no employment or agency relationship.

Reasonable skill, care and diligence; good industry practice.
Once accepted, a Booking is binding; immediate notification of delays or incidents.
Signed POD and CMR documents within 24 hours of delivery.

No sub-contracting or freight exchange posting without prior written consent.
Subcontractor remains fully liable for any permitted sub-contractor.

Vehicles legal, roadworthy; valid Operator's Licence maintained.
DVSA maintenance standards; tachograph compliance; correct load securing.

Valid licences, CPC (where required) and right to work in the UK.
Site rules, PPE; no alcohol or drugs while working.

Goods in Transit ≥ £50,000; PL ≥ £5M; EL ≥ £10M; comprehensive motor.
Evidence on request; immediate notification of any cancellation or material change.

Liability for loss/damage/delay while Goods are in Subcontractor's care.
Full indemnity for breach or negligence; no admission without Company consent.

Confidential Information strictly confidential; used only for the Services.
No direct approach to Clients or Company staff during the Restricted Period (engagement + 12 months).

Payment within 30 days of valid invoice with signed POD.
Either party may terminate on 30 days' written notice; governed by English law.
